Terms and Conditions
Section 1 Scope and Provider
These Terms and Conditions (T&C) apply to the use of the VerdantGrounds Marketplace (hereinafter "Platform"), operated by VerdantGrounds Solutions gUG (limited liability), Nullbrede 22A, 32760 Detmold, Germany (hereinafter "Operator").
By registering and using the Platform, the user accepts these T&C in their respective valid version. Deviating or supplementary terms of the user do not become part of the contract unless the Operator expressly agrees to their application.
Section 2 Description of Services
The Platform is a marketplace that presents and brokers verifiable impact and environmental projects. For this purpose, the Operator provides the technical infrastructure and enables communication between project sponsors and users. The Operator does not itself become a contractual partner of the agreements concluded between users and project sponsors.
The Platform comprises in particular the following functions:
- presentation and discoverability of impact and environmental projects
- presentation of impact evidence, also using the XRP Ledger (XRPL)
- management of wallet connections and processing of on-chain transactions
- communication between project sponsors and interested users
The Operator makes no investment, profit or return promises and does not provide investment advice or any other financial service requiring authorization. The presentation of projects does not constitute an offer or recommendation to purchase financial instruments.
Section 3 Registration and User Account
The use of certain functions requires registration. The user undertakes to provide truthful and complete information during registration and to keep their access data confidential.
The user is responsible for all activities carried out via their user account. If there are signs of misuse of the account, the Operator must be informed without delay.
Section 4 User Obligations
The user undertakes in particular:
- not to provide any false, misleading or unlawful information
- not to use the Platform for unlawful purposes
- to respect the rights of third parties, in particular copyrights, trademark and personality rights
- to provide project and profile data truthfully and completely
- not to take any measures that impair the functionality or security of the Platform
Section 5 Wallet and Transactions
Transactions on the XRP Ledger (XRPL) are irreversible and publicly visible. On-chain transactions once executed cannot be reversed or deleted by the Operator. The Operator accepts no liability for misdirected or erroneous transactions that are attributable to incorrect entries by the user.
The secure custody of the wallet access data (in particular the seed or private keys) is the sole responsibility of the user. In the event of loss of this access data, the Operator cannot restore access to the wallet.
Section 6 Availability
The Operator endeavors to operate the Platform as uninterruptedly as possible but does not owe any specific availability. In particular, maintenance work, technical faults or circumstances outside the Operator's sphere of influence may result in temporary restrictions or interruptions.
The Operator reserves the right to change, expand or discontinue individual functions of the Platform, insofar as this is reasonable for the user.
Section 7 Liability
The Operator is liable without limitation for damages resulting from injury to life, body or health as well as for damages based on an intentional or grossly negligent breach of duty by the Operator. In the case of a slightly negligent breach of essential contractual obligations (cardinal obligations), liability is limited to the foreseeable damage typical for the contract.
In all other respects, the liability of the Operator is excluded. In particular, the Operator accepts no liability for the economic success of support or investments or for the actual implementation of projects by project sponsors. Liability under the Product Liability Act remains unaffected.
Section 8 Right of Withdrawal for Consumers
Consumers are entitled to a right of withdrawal under the statutory conditions. Insofar as a right of withdrawal exists for a specific paid service, the user will be informed separately in the order or booking process about the details, the conditions and the consequences of the withdrawal as well as any exceptions to the right of withdrawal.
Section 9 Term and Termination
The usage relationship is concluded for an indefinite period. Both parties may terminate the usage relationship at any time without giving reasons with a notice period of 30 days to the end of the month in text form. The right to extraordinary termination for good cause remains unaffected. On-chain transactions already completed or in progress remain unaffected by a termination.
Section 10 Amendment of the T&C
The Operator reserves the right to amend these T&C with effect for the future, insofar as this is necessary to adapt to changed legal or technical conditions and the user is not unreasonably disadvantaged thereby. The user will be informed of changes in text form in good time before they take effect. If the user does not object to the amended T&C within the notified period, the changes are deemed to have been accepted; the user will be separately informed of this consequence in the notification.
Section 11 Applicable Law and Place of Jurisdiction
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. Mandatory consumer protection provisions of the state in which the user has their habitual residence as a consumer remain unaffected. If the user is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction for all disputes arising from the usage relationship is the registered office of the Operator.
Section 12 Final Provisions
Should individual provisions of these T&C be or become wholly or partially invalid or unenforceable, the validity of the remaining provisions shall not be affected. In place of the invalid or unenforceable provision, the statutory regulation shall apply.
