Terms of service

§ 1 Scope

These Terms of Service (ToS) apply to the use of the VerdantGrounds Marketplace (hereinafter "Platform"), operated by VerdantGrounds Solutions gUG (i.G.) (hereinafter "Operator").

By registering on the platform, the user accepts these ToS. Deviating conditions of the user are not recognized.

§ 2 Service description

The platform enables registered organizations and investors to trade verified ecosystem services. The operator provides the technical infrastructure but is not a contractual party to agreements concluded between users.

Services include:

• Listing of verified environmental projects
• Blockchain-based impact verification via the VerdantGrounds Protocol
• VGI token management on the XRPL blockchain
• Communication between project sponsors and investors

§ 3 Registration and user account

Use of the platform requires registration. The user undertakes to provide truthful information and to keep their access data confidential.

Registration is only possible for legal entities and their authorized representatives. Verification is carried out by the operator as part of a KYC process.

§ 4 User obligations

The user undertakes to:

• Not provide false or misleading information
• Not use the platform for unlawful purposes
• Respect the rights of third parties
• Provide project data truthfully and completely

§ 5 Blockchain transactions

Transactions on the XRPL blockchain are irrevocable and publicly visible. The operator assumes no liability for misdirected transactions attributable to incorrect user input.

The management of private keys is the responsibility of the user. In the event of loss of wallet access data, the operator cannot restore access.

§ 6 Limitation of liability

The operator is not liable for damages arising from the use of the platform, insofar as these are not attributable to intentional or grossly negligent conduct by the operator.

In particular, the operator assumes no liability for the economic success of investments or the actual implementation of environmental projects.

§ 7 Termination

Either party may terminate the user relationship at any time with 30 days' notice to the end of the month. Ongoing transactions and obligations remain unaffected.

§ 8 Amendments to the ToS

The operator reserves the right to amend these ToS at any time. Registered users will be notified of changes by email. Continued use of the platform after the changes take effect shall be deemed acceptance.

§ 9 Applicable law and jurisdiction

The law of the Federal Republic of Germany applies. The place of jurisdiction for all disputes is the registered office of the operator, provided the user is a merchant, a legal entity under public law, or a special fund under public law.
